Vincent is the Chairman & President of Transmission Infrastructure Partnerships Limited. He has over 30 years of industry experience and was the Chief Operating Officer of Brookfield Power, the world’s then largest pure-play renewable power fund, with its assets valued at over $20 billion. Previously, Vincent was also a Managing Director at Hydro-Quebec with responsibilities for new project development and Chief Executive Officer of Qikiqtaaluk Corporation, an Aboriginal Development Corporation. He provided leadership to secure billions of dollars in financing for the organizations Indigenous-led projects. Vincent brings an in-depth understanding of Indigenous culture, infrastructure-project development, construction, operations, and financing.

Vincent has a Bachelor of Aerospace Engineering from Concordia University and a Master of Business Administration with a concentration in Finance & Accounting at Purdue University.

SHAWN SCHUKAR

Director and Senior Vice President

Shawn Schukar is Director & Senior Vice President of Transmission Infrastructure Partnerships Limited and Chairman and President of Ameren Transmission Company of Illinois (ATXI), a subsidiary of Ameren Corporation dedicated to electric transmission infrastructure investment.

In addition to leading the development of new transmission, he is also responsible for the operations, planning and policymaking of Ameren's transmission system of more than 12 000 circuit kilometres of high-voltage transmission lines in Illinois and Missouri.

Schukar has more than 30 years of experience in the utility industry. Since 2013, as senior vice president, Schukar led various Ameren Transmission Company of Illinois divisions. During his tenure with the company, his responsibilities have included marketing, trading and asset management, transmission, distribution and generation management, engineering, regulatory and risk management and business and corporate planning.

Schukar has a master's degree in business administration from the University of Illinois at Urbana-Champaign, where he also earned a Bachelor of Science in engineering.

DAVID WALDRON

Director and Vice President of Finance

David is currently the Director and Vice President of Finance of Transmission Infrastructure Partnerships Limited. He has had a 25-year career in helping businesses design their strategies and seek financing based on those strategies. David joined SECOR Consulting and helped grow the firm from its Canadian routes to become a boutique international strategy firm and Canada’s largest independent management consultancy. He joined KPMG’s Business Advisory team in 2012 and was KPMG’s Global Lead Partner for Mining Strategy. David joined the Vires team in 2018 as a partner to help launch its business model and has been instrumental in building and financing its development.

David has a Honours Bachelor of Arts in Natural Resource Economics from Queen’s University and a Master of Arts in Economics & Finance from the University of Alberta.

MIKE GAUL

Director, Secretary, and Vice President of Business Development

Mike is the Director, Secretary, and Vice President of Business Development of Transmission Infrastructure Partnerships Limited. He has been developing businesses in close cooperation with Canada’s Indigenous communities for over 25 years. He started providing a community service to help get crucial programs running. Since these successes touched the core of many Indigenous people by building the quality of life for their Elders and developing their youth programs, Mike was soon welcomed as a trusted adviser to some of Canada’s top Indigenous leaders. He now guides the development of Indigenous-led businesses, negotiations of large-scale development contracts, and arranges financing for major infrastructure programs where Indigenous communities are involved. Mike’s role at Transmission Infrastructure Partnerships Limited is to assure that the communities are welcomed at the tables where major project developers, the federal government, the provincial government, and project financiers meet to generate value.

Mike studied Business Administration at St Lawrence University where he played NCAA hockey until being drafted by the LA Kings, the start of a successful 10-year professional hockey career. After, he became involved in life coaching to help ex professional athletes transition to business professions.

THERESA SHAW

Director

Theresa Shaw is Director of Transmission Infrastructure Partnerships Limited and is Senior Vice President, Finance & Chief Accounting Officer, of Ameren Corporation. In this role, Theresa is responsible for leading corporate controller functions, tax, treasury, investor relations, financial planning and analysis, and the Ameren Services Center.

Before her current position, Theresa was Senior Vice President of Regulatory Affairs and Financial Services for Ameren Illinois Company. In this role, Theresa was responsible for leading power and gas supply, energy efficiency, financial services, and regulatory accounting and regulatory affairs for Ameren Illinois.

Theresa joined Ameren in 2002 as a Supervisor of Investor Relations and Financial Communications. She was promoted into various accounting positions of increasing responsibility, including her appointment in in 2012 as the Assistant Vice President and Controller of Ameren Corporation. In 2014, Theresa was named Vice President of Internal Audit. She was named Vice President of Regulatory Affairs and Financial Services for Ameren Illinois in 2018 and promoted to Senior Vice President of Regulatory Affairs and Financial Services in 2019.

A certified public accountant, Theresa earned a Master of Business Administration from Washington University in St. Louis with honors and a Bachelor of Science degree in accountancy with a minor in German from the University of Missouri – Columbia, where she graduated summa cum laude. She is a member of the American Institute of Certified Public Accountants and the Missouri Society of Certified Public Accountants.

STEPHEN LEE

Director and Vice President

Stephen Lee is Director & Vice President of Transmission Infrastructure Partnerships Limited and is currently Vice President and the Deputy General Counsel at Ameren Corporation leading the Legal Department of over 40 professionals in support of Ameren's various power companies.

Stephen has over 25 years' experience as a practicing attorney licensed in Illinois and Ohio. Prior to joining Ameren in 2020, Stephen was a Managing Counsel at BP for almost 20 years leading the downstream legal team in the Americas. As part of a global team of legal professionals in Chicago, Houston, Mexico City, Sao Paulo and New Jersey, Stephen was accountable for the provision of legal services for various BP businesses including three refineries, various terminals, industrial plants, pipelines, logistic assets, 8 000+ BP, ARCO and ampm branded service stations along with other fuel, petrochemical and lubricant (Castrol Oil brands) marketing interests and over 5 000 employees.

Stephen graduated with a B.S. in Business Logistics from the Pennsylvania State University in 1993 and a J.D. from Case Western Reserve Law School in 1996. Stephen currently serves on the Boards of FOCUS St. Louis, the Asian American Chamber of Commerce St. Louis and the Pennsylvania State University Law School.

Luke Wollin

Vice President - Transmission Infrastructure Partnerships

Luke Wollin is Vice President of Transmission Infrastructure Partnerships Limited and the Vice President,

Engineering and Construction for Ameren Transmission. His responsibilities include leading the engineering design, project management, and construction organizations, and the overall execution of the Ameren Transmission capital project portfolio.

Luke has 21 years of utility experience and nearly 20 years at Ameren. He joined Ameren in 2003 as an engineer in Transmission Substation Design, and in 2011, moved to the Transmission Project Management group. In 2015, Luke was promoted to Director of Transmission Design, leading the substation, transmission line, civil, system protection, and drafting design groups. In 2019, he was promoted to Senior Director, Transmission Operations and Maintenance, leading the control center,

operations and maintenance, vegetation management, and reliability efforts. In June 2021, Luke was promoted to his current role.

Luke earned his bachelor's degree in electrical engineering from Southern Illinois University Edwardsville and his MBA from Washington University in St. Louis. Luke is a licenced Professional Engineer in Missouri and Illinois.
